1. Overview

These terms govern the relationship between Alchemy Data Ltd ("Alchemy", "we", "us") and any individual or organisation ("you", "the client") that engages us for services. By engaging Alchemy you agree to these terms.

2. Services

Alchemy provides specialist data platform consultancy services. The scope, deliverables, and timeline for any engagement will be agreed in writing before work begins, typically in the form of a statement of work or proposal.
Any changes to agreed scope must be agreed in writing by both parties before additional work is carried out.

3. Payment

Payment terms will be set out in the relevant proposal or statement of work. Invoices are due within the timeframe specified on the invoice. Alchemy reserves the right to pause work on any engagement where payment is overdue.

4. Intellectual property

Unless otherwise agreed in writing, intellectual property created by Alchemy in the course of an engagement transfers to the client upon receipt of full payment. Alchemy retains the right to use general knowledge, skills, and experience gained during an engagement in future work.

5. Confidentiality

Both parties agree to keep confidential any information shared during an engagement that is not publicly available. This obligation continues after the engagement ends. Specific confidentiality requirements can be set out in a separate non-disclosure agreement if required.

6. Liability

Alchemy will perform services with reasonable skill and care. We are not liable for any indirect or consequential losses arising from our work. Our total liability in relation to any engagement will not exceed the total fees paid by the client for that engagement.

7. Termination

Either party may terminate an engagement by giving written notice as specified in the relevant statement of work. Where no notice period is specified, 30 days written notice applies. Any work completed up to the point of termination will be invoiced and is payable.

8. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Changes to these terms

We may update these terms from time to time. The current version will always be published on our website. Existing engagements will not be affected by changes made after work has commenced.
